These terms are the agreement between Aster IT Ltd (“we”, “us”), the company behind Epos One, and the business that signs up for it (“you”). By creating an account or using Epos One you agree to them. If you are signing up for a business, you confirm you have authority to bind it. We are company number 17491204.
Epos One is cloud software for taking sales and running a shop, cafe or restaurant: a till, self checkout, stock, reporting and optional extras such as table bookings, gift cards and loyalty. The features available to you depend on your plan and on any add ons switched on for your account. We may improve, change or retire features over time. If we remove something you rely on we will give you reasonable notice.
You must give accurate details and keep your sign in details and staff PINs secure. You are responsible for what happens under your account, including what your staff do. Tell us promptly if you think an account has been misused.
New accounts start with a 14 day free trial of the full service, with no card needed. When the trial ends, an account that stays within the free Starter plan limits shown on our pricing page carries on for free. An account that goes beyond those limits will be paused until you choose a paid plan. The Starter plan keeps 28 days of sales history (orders, till readings, voids and no sales and cash movements). Older records are removed automatically, after we email the account owner to warn them, so it is your responsibility to download the copies you need from the Export data page in the admin console, including any records you must keep for tax or accounting. Accounts on a paid plan keep their full history. We can change the Starter plan limits in future, and will give you reasonable notice if we do.
Paid usage is charged as set out on our pricing page or in your reseller’s own pricing, and is billed through our payment provider, Stripe. Prices exclude VAT unless we say otherwise, and VAT is added where it applies. If a payment fails we may suspend the paid parts of your account until it is paid. We may change our prices with at least 30 days’ notice, which takes effect from your next billing period.
Card payments are processed by third party payment providers under their own terms, for example Stripe or the card machine you already use. Epos One does not hold your customers’ money. Booking deposits are paid to your own connected payment account. You are responsible for your agreements with your payment providers, and for refunds and chargebacks on your sales.
For the personal information of your customers and staff that you put into Epos One, you are the controller and we are your processor. We will only process it to provide the service and on your documented instructions, keep it confidential and secure, use only service providers bound by equivalent terms, help you respond to requests from individuals, tell you without undue delay if we become aware of a breach affecting it, and delete or return it when your account ends, unless the law requires us to keep it. You agree that we may use the service providers described in our privacy policy. Our own use of personal information as a controller is explained in that policy.
We work hard to keep Epos One running and to give you the service with reasonable skill and care, but we cannot promise it will always be available or error free. Tills and apps are designed to keep taking cash sales if the connection drops and to send them when it returns, but some actions, such as card payments, gift card and loyalty checks and bookings, need a connection. You should have a plan for taking payment if the system is unavailable. We may carry out maintenance and will try to do it at quiet times.
We own Epos One and its software. You own your business data. You give us permission to use it only to run and improve the service for you, as described in these terms and our privacy policy. Using Epos One does not give you any rights in our brand or code beyond using the service.
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence or for fraud. Subject to that, we are not liable for loss of profit, loss of sales, loss of business or goodwill, or for indirect or consequential loss. Our total liability to you for anything connected with the service in any 12 month period is limited to the fees you paid us in the previous 12 months, or £100 if you have paid us nothing. The service is provided as is apart from what these terms say.
You can stop using Epos One and close your account at any time by emailing us. We can suspend or end your account if you seriously or repeatedly break these terms, if you do not pay, or if we reasonably believe your use puts the service or others at risk, and where we can we will tell you first. Closing an account stops future charges, but does not cancel anything already due. After closing we delete or anonymise your data as described in our privacy policy.
If you sign up as a reseller you may offer Epos One to your own customers under your own brand. You are responsible for your customers, for the terms and prices you agree with them, and for supporting them. Wholesale pricing and any other commercial terms between us are agreed separately in writing and apply in addition to these terms. A business that uses Epos One through a reseller may be billed and supported by that reseller.
We may update these terms. For a material change we will give account holders at least 30 days’ notice by email or in the product before it takes effect. If you do not agree you can close your account before then. Continuing to use Epos One after that date means you accept the new terms.
These terms, with our pricing page and privacy policy, are the whole agreement between us about the service. If a part is found unenforceable the rest stays in force. If we delay in enforcing a right we have not given it up. You may not transfer your rights under these terms without our written consent. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, although if you are a consumer you may have additional rights where you live.
